BYLAWS

Bylaws governing members of The American Art Deco Dealers Association:

All current members of The American Art Deco Dealers Association are expected to honor and conform to the Bylaws of the Association, which provide a framework within which the Governing Board believes all good professional and reputable art deco/art nouveau dealers should operate. Of course AADDA members exhibit many qualities and attributes which cannot be governed by such rules and regulations. Attributes such as enhancing the art deco/art nouveau trade experience, the sharing and passing on of sound advice and the special care and attention devoted to customers and fellow association members, which have become an exception rather than the rule. Our members go far beyond the "sale" of an item and offer unprecedented support and commitment to their customers.

Breeches of the Bylaws are rigorously investigated and in the unlikely event that customers believe that a breech may have occurred they are asked in the first instance to write to: The American Art Deco Dealers Association, P.O. Box 2454, Cordova, TN 38088.

Bylaws

These Bylaws take effect from the date when the same are approved by the Members of the Association. a) For the purpose of these Bylaws: The words "art deco" when applied to an object sold or offered for sale by a Member shall mean an original art deco period object which:-
b) was manufactured during the grail of the art deco period - being of original art deco design and style manufactured typically from 1900 - 1930 but in any case - prior to 1950 (herein after called "the centenary date") which it is offered for sale by the member. A manufacturing date frame must be given; and
c) For the purpose of these Bylaws: The word "art nouveau" when applied to an object sold or offered for sale by a Member shall mean an original art nouveau period object which -
d) was manufactured during the grail of the art nouveau period - being of original art nouveau design and style manufactured typically from 1880 -1900 but in any case prior to 1920 before being replaced by the art deco period in America (herein after called "the centenary date") which it is offered for sale by the member. A manufacturing date frame must be given; and
e) is in substantially the same condition as when originally made and has not at any time been added to or altered to any material extent whether before or after the centenary date except for the purpose of necessary repair; and
f) any repair(s) must be clearly and fully disclosed whether made, known or suspected in any listing, advertisement or offer for sale at the time of sale.
g) For the purpose of these Bylaws: The word "antique" when applied to an object sold or offered for sale shall mean an original art deco or art nouveau period object which was manufactured at least 100 years prior to the date of sale by the member.
h) For the purpose of these Bylaws: The word "Member" when applied to an object sold or offered for sale shall mean a dealer in art deco or art nouveau collectible trade who is a member in good standing with the AADDA at the time of sale, and who has committed themselves to highest standards of professionalism and business ethics established by the AADDA.
i) For the purpose of these Bylaws: The word "Associate" when applied, shall mean a non-dealer individual of interest in the art deco and/or art nouveau collecting arena. Associates are learning by nature and are not engaged in dealing, trading or selling practices. Associate status signifies an associate in good standing, who has committed themselves to highest standards of professionalism and ethics established by the AADDA.

I. ADMISSION TO AND CONFIRMATION OF A.A.D.D.A. MEMBERSHIP

Membership to the American Art Deco Dealers Association is open to any professional art deco/art nouveau dealer or collector who submits an AADDA Membership Application and that application is approved by the Association. The Association offers the MEMBERSHIP as well as the ASSOCIATE status. The MEMBERSHIP requires that all applicants be sponsored by a present active member in good standing at the time of application or that such initial applications for "Charter Membership" be approved on each applicant's professional merits (limited to first 50 Charter Members).
The AADDA may postpone the consideration of any application for membership, and, in accordance with the Bylaws of the Association, may refuse to admit an applicant to membership until all requested information has been received as required. An applicant for membership who is not admitted to membership shall not be eligible to make a new application for membership until after the expiration of six calendar months from the date at which his prior application was refused.
A Member of the Association may describe himself as a "Member of the American Art Deco Dealers Association" but may not use the A. A. D. D. A. initials after the name of a Member in connection with the business of a Member. The A. A. D. D. A. initials use is exclusively reserved for the American Art Deco Dealers Association as a Governing body.
The membership of each Member of the Association is subject to annual review and confirmation by the AADDA Governing Board upon receipt of Annual Dues.
A new applicant for membership and Sponsoring Member must be able to satisfy the following:
a) that the Sponsoring Member is personally acquainted with the applicant and has personal knowledge of the art deco/art nouveau goods in which the applicant normally deals, and
b) must be prepared to satisfy the AADDA as to the eligibility of the applicant for membership in accordance with the next succeeding Bylaws.

The AADDA will determine the eligibility for membership of an applicant by reference to:

1. submission of the completed AADDA Membership Application and Non-Refundable Application Fee.

2. submission of the AADDA Annual Membership Dues.

3. evidence that the applicant is established in business in the Art Deco/Art Nouveau Collectable Trade and carries a stock of art deco/art nouveau items of a standard of quality which the AADDA in its absolute discretion considers to be appropriate for membership of the Association.

4. evidence that the applicant has carried on his business in the Art Deco/Art Nouveau Collectable Trade for a period of not less than three years immediately preceding such application unless the AADDA - in its review of a particular case - decides on a shorter period than three years, based upon the applicants knowledge, experience and inventory.

5. evidence that the applicant is a person of integrity and high ethics in all of their business practice or, being a corporation, is under the control of a person of integrity and high ethics in their business practices.

6. evidence that the applicant possesses or commands the degree of knowledge required to enable the applicant to buy, trade, barter, and when selling to describe the original art deco/art nouveau goods of the kind in which the applicant deals.

7. evidence that the applicant's membership would enhance the AADDA and that the applicant will adhere to and honor all membership requirements and expectations.

8. Membership shall be subject to annual review by the Board at its first Meeting in each year (or if there is no such Meeting at the first Meeting of the Board thereafter) and such review shall take effect as at the 31st December in such year (hereinafter called "the Annual Date"), the first of such reviews to take place as at the annual date following the AADDA membership Application. The Board shall be required to give any reason for not approving a Membership and the Association shall give written notice to that effect.

9. A Membership in the AADDA shall forthwith cease upon the happening of any of the following events:
  • the member resigns his membership by notice in writing to the Association.
  • the expiration of 30 days past the members annual membership date occurs and the member has not submitted the required Annual Membership Dues.
  • the member refuses to abide by a arbitration decision of the AADDA and the appointed arbitrator(s) in a given case concerning the member.
  • the member dies or become incapable by reason of mental disorder of managing and administering his property and affairs and a receiver or any other person be authorized to act on his/her behalf or a receiving order be made against him/her or he make any arrangement or composition with his creditors generally.
  • the AADDA at its sole discretion, determines that the members status with the Association has been misrepresented or used in, or behavior has been displayed, or implications made in the course of trade, in such a manner that is detrimental to the Associations cause and that such membership, if continued, would be contrary to the professional standards, ethics and guidelines of the Association and deemed as failure to observe the AADDA Bylaws.

If an applicant for membership has already been refused admission to membership or has ceased to be an Active Member pursuant to these Bylaws, such applicant may be required by the AADDA, upon re-application - to have that application for admission sponsored by more than one member.

ADMISSION TO AND CONFIRMATION OF A.A.D.D.A. ASSOCIATE STATUS

The ASSOCIATE status requires that all applicants be sponsored by a present active member in good standing at the time of application. The Associate status is open to novice, collectors and art deco/art nouveau enthusiast who are not dealers, sellers or traders in the art deco/art nouveau collectible field. Associates have no voting rights nor can they seek, be elected to any office within the Association.

The AADDA may postpone the consideration of any application for associate status, and, in accordance with the Articles of Association, may refuse to admit an applicant to associate status until all requested information has been received by the Association as required.

An applicant for associate status, who is not admitted, shall not be eligible to make a new application until after the expiration of six calendar months from the date at which his/her prior application was refused. An Associate may describe themselves as a "Associate of the American Art Deco Dealers Association" but may not use the A. A. D. D. A. initials after the name of a Member in connection with the business of a Member. The A. A. D. D. A. initials use is exclusively reserved for the American Art Deco Dealers Association as a Governing body.

Associates may not post and display the Membership Seal in any listings, postings, advertisements and promotions in accordance with the AADDA Seal Guidelines. Associates may display the AADDA Associate Certificate in accordance with the AADDA Guidelines as long as they are in Good Standing.

Associates are subject to annual review and confirmation by the AADDA Governing Board upon reapplication and resubmission of Annual Subscription Fees.

A new applicant for Associate status and Sponsoring Member must be able to satisfy the following:

  • that the Sponsoring Member is personally acquainted with the applicant and has personal knowledge of the art deco/art nouveau goods in which the applicant collects and has a reasonable amount of knowledge in and must be prepared to satisfy the AADDA as to the eligibility of the applicant for Associate status and
  • must be prepared to satisfy the Association as to the eligibility of the applicant for associate status in accordance with the Bylaws.
  • that the Associate Applicant who is eligible for such associate status with the Association, shall be at the date of his application not less than twenty-one years of age and he has been in the art deco/ art nouveau collectable field of interest for not less than one year.
  • the AADDA may refuse to appoint an applicant as an Associate without assigning any reason for such refusal.
  • until the Association otherwise determines - an application for appointment as an Associate shall be sponsored by at least one member of the Association.
  • a Member who sponsors an application must satisfy the Council that he is personally acquainted with the applicant and has personal knowledge of the applicant's interest and experience in the art deco/art nouveau collectible field.
  • an Associate's status shall be subject to annual review by the Board at its first Meeting in each year (or if there is no such Meeting at the first Meeting of the Board thereafter) and such review shall take effect as at the 31st December in such year (hereinafter called "the Annual Date") - the first of such reviews to take place as at the annual date following his appointment. The Board shall not be required to give any reason for not approving the application of an Associate, but if the appointment is not confirmed the Association shall give written notice to that effect.
  • the Associate status in the AADDA shall forthwith cease upon the happening of any of the following events:
    1. the associate resigns his status by notice in writing to the Association.
    2. the expiration of 30 days past the member's annual enrollment date occurs and the associate has not submitted the required Annual Associate Dues.
    3. the associate applies for and becomes a Dealer Member of the Association.
    4. the associate dies or become incapable by reason of mental disorder of managing and administering his property and affairs and a receiver or any other person be authorized to act on his behalf or a receiving order be made against him or he make any arrangement or composition with his creditors generally.
    5. the AADDA at its sole discretion, determines that the associates status with the AADDA has been inappropriately used, or behavior has been displayed in a manner that is detrimental to the Association's cause and that such association, if continued, would be contrary to the professional standards of the AADDA.

II. OBLIGATIONS OF AADDA MEMBERSHIP

The following are to be regarded as obligations of membership of the Association and admission to membership and the annual confirmation of membership are subject to their due observance, a breach of any such obligations being regarded as likely to damage the reputation of the Association and of its members.

1. Any art deco/art nouveau article offered for sale by a member is to be deemed to be represented by the Member to be original (as defined in this Bylaws) unless there is a clear written indication to the contrary.

2. Any art deco/art nouveau article offered for sale, which is not an original period item shall be clearly and without doubt - labeled and identified as not being an original art deco/art nouveau period item. Such identification must include the term "reproduction."

3. Any art deco/art nouveau article offered for sale, which is not an original period item - but is clearly in the art deco "style" shall be clearly and without doubt - labeled and identified as not being an original art deco period item. Such identification must include the term "art deco or art nouveau style reproduction."

4. Any art deco/art nouveau article offered for sale, which is not in its original manufactured condition must be identified as such. Members may stock, sell, trade or buy reconditioned, or repaired period items - but - these items must be described clearly and without doubt as such. Members must fully disclose and known or suspected alterations or repairs to the items in any and all posted descriptions. Any damage to an item must be clearly posted and described including: scratches, scrapes, dents, breaks, chips, cracks, tears, missing pieces, altered pieces, resurfacing, etc… Members may use statements such as "reconditioned," "professionally repaired," or " professionally refinished" to indicate an acceptable level of such, of which the member has personal knowledge.

5. Any art deco or art nouveau article offered for sale by a member shall provide by posting or tagging or displaying - a description immediately above, beside or below each such item. The description shall contain:

§
  • a full clear and accurate description of the article including composition, measurements, weight, in lbs. and inches etc; and
  • §
  • if applicable, a proper attribution of the article; and
  • §
  • the approximate date of manufacture of the article; and
  • §
  • the artist, sculptor or manufacturer of the article with any accompanying marks; numbers and
  • §
  • a full clear and accurate description of any damage including: scratches, tears, cracks, chips, scrapes, repairs, reconditioning, rewiring, or any change or modification that is not of original manufacturing, etc… and
  • §
  • where it is not practical to attach a label of sufficient size to contain this information a label indicating the stock book number referencing a full description will be acceptable. However, all Internet postings will provide a full and accurate description. All descriptions shall contain all required information according to the Association Bylaws.
  • §
  • all listings, other than those physically attached to an item at its physical location and referencing a stock book number, shall include sufficient photo images that clearly present the item(s) in its entirety. If only one single image is used to post an offer for an item and describe such item then the member must make additional image/photo representations available as requested by the buyer prior to the sale of the item. Image representations of an item shall include close up images of any known or suspected alterations, repairs, resurfacing or any visible damage.
  • §
  • all listings shall contain full and complete information by the member concerning transaction closure timeframe, acceptable method of payment, shipping method, forwarding delivery information, member contact information, procedures for notification of return, etc…

6. Members may include other relevant information in all of their listings such as: item history, source, previous owner(s), or other member specific statements, based upon a members personal knowledge and expertise, which provide beneficial information to consumers in the art deco and art nouveau collectible fields. These statements may not however, be inaccurate, intentionally misleading or suggestive in nature in a manner that is anything other than true. If members include any information that is considered to be "professionally unverifiable," then the member must use a clarifying statement in the listing. It is however predominately expected that all items offered by Association Members are to be assumed that the object is as presented and suggested by its appearance and character in full disclosure.

7. The stock of art deco or art nouveau items carried by a member shall at all times be of a standard of quality that is not lower than the prevailing standard of quality, which the Board in its absolute discretion, considers to be appropriate for admission to membership of the Association.

8. An invoice, should be given by a member for any object sold whether such sale is to a public consumer or to another dealer. An invoice should contain or have attached the original posted description of the art deco or art nouveau item/object and a copy of any listing/posting images. Invoices verify that the sold item(s) are presented and suggested by its appearance and character in full disclosure.

9. All AADDA members, by virtue of AADDA, offer the following Buyer/Collector Guarantee with any and all art deco or art nouveau items they sell.

"A full and complete Refund of any item, that is not as represented in the original item description/posting upon return of the item in original sold condition."

10. Returned items by negotiation, trade or bartering for any reason other an item not being as advertised or described as above shall be by mutual agreement between member and buyer. The mutual agreement shall include provisions for return and safe insured shipment. Such mutual agreements are a binding right of membership and members are expected to honor any such agreements to the fullest extent. However, such agreements are an independent agreement between buyer and seller and are not governed by membership in the AADDA. Nor are such agreements subject to AADDA Arbitration Rules.

11. If a member is asked by the Governing Board or AADDA appointed arbitrator(s) to describe an object, in respect of which no invoice - which complies with this Bylaw, was given on its sale by the member, the member shall provide the Board with any relevant information that may be requested. Including but not limited to original description, postings, advertisements, photo images, etc. as the AADDA deems necessary.

III. OBLIGATIONS OF MEMBERSHIP TO A.A.D.D.A ARBITRATION

1. In the event that a difference of opinion (irrespective of whether the difference arose before or after the date upon which these Bylaws take effect) as to the authenticity of an object sold by a member, and, cannot be resolved between the parties to the transaction, the member or members involved in the difference shall agree to submit the difference to arbitration of the Board: After consideration of the circumstances, the AADDA shall give notice to the member or members involved in the difference that the submission of the same to arbitration is desirable in the interests of the Association and its objects.

2. In connection with an arbitration required to be entered into pursuant to this Bylaw the Board may prescribe the form of the submission to arbitration, may nominate the person or persons to act as arbitrators, and give direction generally as to the conduct of the arbitration.

3. Having considered all circumstances and reviewed all evidence, the arbitrator shall issue a binding decision in the review matter. Members agree to abide by the decision of the arbitrator in any and all such reviews - without malice, retribution, retaliation or legal action of any kind against the arbitrator(s), the Governing Board or the A.A.D.D.A. Arbitration decisions are binding to all AADDA Members by mutual membership agreement.

IV. CONDITIONS OF MEMBERSHIP DECLARATION

Every Member of the AADDA shall be required to sign a declaration indicating:
§ that he/she has read all the Bylaws
§ that he/she understands that compliance with the AADDA Bylaws is a condition of membership of the Association.
§ that he/she shall sign the Declaration of Membership to the Association with their Application for Membership Form and Membership Fees.
§ that he/she shall sign the AADDA Community Boards User Agreement with their Application for Membership Form and Membership Fees.

V. USE OF AADDA NAME, LOGOS AND SEALS

The AADDA reserves the use of its name, initials, logo and seals to the guidelines established in its Bylaws. Any unauthorized copying, displaying or referencing of A.A.D.D.A., American Art Deco Dealers Association, AADDA Logo, Membership Seals, Certificates or any part of the AADDA Internet Website is a violation of the AADDA Bylaws and a copyright infringement without the specific written consent of the AADDA. The AADDA will vigorously protect any and all associated representations of the AADDA and its emblems. The AADDA will staunchly enforce its authorization of use guidelines and will prosecute to the fullest extent possible any unauthorized use or displaying of all such AADDA representations including legal cost, monetary awards and damages. Only AADDA Members in good standing may display and use the AADDA Logo or Membership Seals as authorized herein. Members who abuse use guidelines or display these representations in any manner other than allowed for will have their Membership in the Association suspended indefinitely. Any suspected unauthorized use or violations should be immediately reported to the AADDA.

MEMBER USE AUTHORIZATION

Members in "Good Standing" of the A.A.D.D.A. have the assumed right to display the Associations representations or symbols in accordance with the following:

AADDA LOGO:
The AADDA Logo with the Association's recognized image enclosed within the namesake borders constitutes the official logo. Members in Good Standing of the Association have the right to display the AADDA Logo - upon approval by the AADDA - on their Internet website home page, other website venues within which they conduct trade and in their physical facilities. The Member is required to provide a direct link to the AADDA website home page either activating the Logo itself or immediately under the Logo. The Logo must be displayed in its entirety without modifications or additions of any sort. Members who post the Logo must notify the AADDA via e-mail or in writing and provide a direct link address to the Logo itself. The AADDA will review the posting and placement of the Logo and advise the Member of approval or request any revisions. Once the AADDA has approved the specific placement and use of its Logo no revisions are allowed unless the Association is notified before hand of any such changes and approves such revisions.

AADDA MEMBERSHIP SEAL:
The AADDA Membership Seals with the Association's Logo enclosed within Membership namesake borders constitutes the Association's Membership Seals. Members in good standing with the Association have the right to display the Membership Seal on the home page of the Members Internet website, within listings, advertisements, or postings in other Internet venues and identify themselves as a "Member" of the AADDA. The seal must be displayed in its entirety without modifications or additions of any sort. Members shall not use the AADDA Membership Seal in any manner, which implies that the AADDA endorses any other Internet website, items offered - services provided, or advertisements, postings or statements made by the Member. The AADDA offers seals for Charter Members, Members and Associates.

AADDA MEMBERSHIP CERTIFICATE:
The AADDA Membership Certificates with the Association's Logo embossed within the Associations namesake borders constitutes the Association's recognized Member Certificates. Members in Good Standing with the Association have the right to display the Certificate in the physical location of their business or collector facilities. The Certificate is not to be posted to any Internet venues. Members shall not use the Certificate in any manner, which implies that the AADDA endorses any other Internet website, items offered - services provided, or advertisements, postings or statements made by the Member. The AADDA offers Certificates for Charter Members, Members and Associates.

VI. USE OF AADDA COMMUNITY BOARDS

The AADDA provides, on its Internet website, a Community Boards feature for its Members and Associates to utilize in the promotion of the AADDA, furthering of dealer and collector knowledge, sharing experiences, engaging in trade, education of Associates and the promotion of the Art Deco and Art Nouveau Collectible venues. The Boards are accessible only to Members and Associates in good standing with the AADDA. Members, upon acceptance, receive an individualized access code to use the Community Boards feature. The AADDA actively monitors all Community Boards to ensure that the ethical principals of the Association and the Guidelines are safeguarded. Members agree to the AADDA User Guidelines, which govern the use of its Boards feature. Messages posted to the Community Boards, by members and associates are solely the opinion and responsibility of the person posting the message(s). The AADDA is not responsible for messages left by any and all members and associates. As a user of the Community Boards you are responsible for your own posts.


Members who access and use the Community Boards feature, including the "For Sale & Wanted" Board recognize that it is a member open "connection service hosting" feature only. The AADDA does not warrant, guarantee, imply nor endorse neither any offer posting nor any response by any Member, at any time, on any board feature. Member's who use the Boards to engage in the art deco/art nouveau collectible trade, do so with the understanding that any such use must meet the conditions and guidelines established in the AADDA Bylaws. Members who engage is such transactions are responsible for ensuring that any and all local, State and Federal Sales or Income Tax is collected, reported and distributed according to all applicable laws. The AADDA expects any and all transactions conducted within the Community Boards to be finalized and completed to the satisfaction of both buyer and seller within 14 days. All such transactions are governed by the AADDA Arbitration Guidelines.

The Association recognizes the following types of postings as cause for immediate post removal, warning, board sanction and/or suspension from the Community Board(s) site. Other inappropriate postings not specifically mentioned below may also warrant corrective action if such postings are deemed inappropriate by the AADDA at its sole discretion. The AADDA reserves the right to remove any and all such postings without warning or further notice.

  • Posting material with the intent to impersonate AADDA Staff or another Member through the unauthorized use of similar Log-In IDs or any other methods.
  • Posting contact information about another Member or Associate in exception to the Member Contact Information provided on the site in the Members Directory.
  • Posting derogatory or inflammatory messages directed toward or about another Member or Associate.
  • Posting contact information, ID's, etc… of individuals or businesses who are former or not current members in good standing in the AADDA.
  • Posting contact information to solicit or encourage Members or Associates to join another "Dealer Association" without the specific consent of the AADDA.
  • Posting material containing profanity, vulgarity, hate, prejudice language - speech, or threats of violence.
  • Posting material (graphic or text) that is obscene, pornographic or adult in nature.
  • Posting of any active or other coding, making repetitive posts, or other actions that interfere with site operations.
  • Encouraging others to violate the Community Boards Guidelines.
  • Refusing to follow Use Guidelines or Directives.
  • Posting e-mails of a private nature.
  • Posting URLs to Internet sites - except Member sites - without the specific consent of the AADDA.
  • Re-posting any post or thread previously removed by the AADDA.
  • Only the actual AADDA Member or Associate (persons aged 21 or over) may post to the boards. Any post made by anyone other than the Member or Associate, using that individuals ID - with that individual's knowledge and consent - becomes an assumed responsibility of that Member or Associate.
  • Posting copyrighted items without the permission of the copyright owner.
  • Postings, which are misleading, deceiving or "result" in unprofessional and unethical solicitations to trade, barter, sell or purchase items with other Members or Associates.
  • Failure to honor, follow through or complete an accepted transaction, which occurs on the Community Boards.

The AADDA may sanction a Member or Associate from the boards without suspending them from the site. The association may suspend any member or associate from the boards and from the site who has been previously warned of board policy violations, though we reserve the right to suspend any member or associate immediately depending on the violation. Sanctions or suspensions may range from 1 day to indefinite at the discretion of the Association. All warnings and suspensions are in accordance with the guidelines set out in the AADDA Community Board User Agreement.

VII. AADDA GOVERNING BODY

The AADDA establishes and recognizes the following Officer positions as the Governing Body for the Association:

Past President
The immediate Past President of the Association serves as the Chairman of the Governing Board of the AADDA. As chairman, the Past President chairs the Board and ensures that the Board conducts its business accordingly and expeditiously within the spirit of the Association's Bylaws. The Past President also serves as advisor to the President Elect.

President
The President of the Association serves as the Chief Officer of the AADDA and is charged with enforcing the professional and ethical standards represented in the Associations Bylaws. The President is responsible for ensuring the Business of the Association is carried out in a prompt and professional manner. The President oversees the activities of the other Association officers to ensure that their responsibilities are carried out to the fullest extent in the promotion of and securing of the Associations best interest. The President serves as a member of the Governing Board and serves as AADDA representative as empowered by the Board in the execution of the Office. The President prepares an Annual State of the Association Report, which is presented to the Governing Board and posted on the AADDA website.

Vice Presidents
Vice Presidents are appointed by the President and approved by the membership body in good standing at the time of nomination and election to office by official ballot. The Vice Presidents are charged with enforcing the professional and ethical standards represented in the Associations Bylaws regarding membership in the AADDA. The Vice Presidents are responsible for ensuring, as delegated by the President, that the business of the Association is carried out in a prompt and professional manner. The Vice Presidents serves as a member of the Governing Board and serves as AADDA representative as empowered by the President. In the event that the President is unable to perform the duties of his/her office, the Vice President of Membership assumes the office of President of the Association until the next regular election of Association Officers.

Secretary
The Secretary is appointed by the President and approved by the membership body in good standing at the time of nomination and election to office by official ballot. The Secretary is responsible for ensuring that the Associations business is accounted for and documented in the Minutes of the Governing Board Meetings. The Secretary shall prepare the Minutes from the last Board Meeting and distribute copies of the minutes to each Board Member at the next meeting for review and approval. The Secretary shall maintain copies of any and all AADDA Minutes as Association records. The Secretary shall record minutes of other AADDA activities as directed by the President. The Secretary is responsible for ensuring that member and associate use of AADDA Logo's, seals and certificates are done so within the scope of the AADDA Bylaws and Guidelines. The Secretary is responsible for notifying members and associates of receipt of application; application decisions; censorship or suspension acts by the AADDA. The Secretary serves as a member of the Governing Board.

Treasurer
The Treasurer is appointed by the President and approved by the membership body in good standing at the time of nomination and election to office by official ballot. The Treasurer is responsible for ensuring that the Associations fiscal business is accounted for and conducted in a professional and ethical manner. The Treasurer is responsible for ensuring that the Associations financial transactions are executed swiftly and responsibly in conducting the Associations business. The Treasurer shall transact any and all financial matters on the Associations behalf as directed by the President upon approval of the Governing Board. The Treasurer shall issue a Quarterly Treasurer's Report to the Governing Board for its review and approval. Each year, the Treasurer shall issue the Annual Treasurer's Report published in January of each proceeding year, which covers January 1st - December 31st yearly. The Report shall be prepared and presented to the Governing Board at its last meeting for that year. The Board shall review the Annual Treasurer's Report and approve distribution to all Association members in good standing at the end of the preceding year. The Treasurer serves as a member of the Governing Board.

Standing Committees
The AADDA maintains the following Standing Committees to ensure member participation in the execution of the Association's business. The Committee's Chair(s) are appointed by the President and approved by the Governing Board. Committee Chairs are responsible for ensuring that their committee carries out its appointed responsibilities in supporting the AADDA in the spirit of its Bylaws. Committee Chair(s) are not members of the Governing Board.

State Representatives
The AADDA maintains a network of State representatives to expedite communication to its membership and foster a strong local bond among Association members. State Representatives are appointed by the President upon approval of the Governing Board. State Representatives foster the high standards of the Association and serve as "facilitator" for local or State AADDA activities and growth. State Representatives ensure that the Association members within State geographical boundaries are kept informed of AADDA activities and events. State Representatives will work closely with the President and Governing Board in the planning, hosting and successful completing of State AADDA Fair's and other member activities. State Representatives also serve as appointed to support and facilitate National AADDA events. State Representatives are not members of the Governing Board.

VIII. TRANSACTING AADDA GOVERNING BUSINESS AUTHORITY TO ACT ON BEHALF OF

The AADDA at its sole discretion may offer special Association promotions, or events, or secure contracts for, negotiate with/for supportive services or mutually beneficial relationships and associations, as it deems beneficial and supportive of the Association and its welfare. Any such activities shall be recommended by the President and supported by the Governing Board by a majority vote. Upon approval, the AADDA will execute any such articles, communications, reservations, benefits, secure any services, or enter into agreements needed at its discretion to accomplish such desired objectives in the promotion of the AADDA. As such, the Association's Officers and Governing Board are empowered to secure such activities on behalf of the membership body as an "assumed responsibility."

The AADDA Officers and Governing Board shall transact all Association business in an up-front and ethical manner. Business transactions and Board meetings are conducted according to Robert's Rules of Order - 10th Edition - Revised. The Association shall utilize any or all of the following communication venues in conducting its official business: e-mail communication, written communication, teleconferences, actual meetings, etc at the discretion of its Governing Board in the execution of its responsibilities. Regardless of venue, the business of the Association officers and Governing Board will be conducted within the spirit of the AADDA Bylaws and the high standards of the Association.

IX. TERMS OF OFFICE

All AADDA Officers shall serve a three-year term of office. Committee Chairman positions - appointed by the President and approved by the Governing Board shall serve a three-year term. State Representatives - appointed by the President and approved by the Governing Board also serve a three-year term. Officer's, elected by the general membership, ending their current term, are eligible to seek re-election to the same or another office within the Association. Committee Chairman and State Representatives are also eligible for re-appointment by the President upon Governing Board approval and Chairman/State Representative consent.

X. VOTING

Each Member in good standing in the AADDA at the time votes are cast, shall have one vote in all voting venues available to the general membership. Members shall cast their vote in general Association elections, amendments to the Bylaws or other matters brought before the membership as approved by the Governing Board. Dates for general elections and other matters, will be established by the Governing Board and pre-notice of any vote shall be given to all Association members. Associates of the AADDA have no voting rights in the Association.

XI. AMENDMENT OF AADDA BYLAWS

The operating Bylaws of the AADDA can be amended at any time by a 2/3-majority vote of the membership in good standing with the Association at the time of the vote. Membership request to amend the Bylaws can be made to the AADDA Bylaws Committee Chairman. The Chairman shall present the recommended changes to the Bylaws Committee for review and approval. If approved by the Committee, the revised Bylaw outline will be sent to the Governing Board for its review and approval. The Board, upon review and approval shall place the recommended Bylaw revision before the general membership of the AADDA for its consideration and formal vote. If the membership approves the amendment by 2/3-majority vote of the membership in good standing with the Association at the time of the vote - the presented Bylaw amendment passes and the Association Bylaws are amended. The amended Bylaws will be placed on the AADDA website under the Bylaws Section. All results of formal Association votes shall likewise be posted and made available to the general membership by vote total only.
